EFFECTIVE DATE: JANUARY 07, 2025

These Terms and Conditions ("Agreement") are entered into by and between LEQODE Studio ("Provider") and the client ("Client") for the provision of website design, development, and related services. By submitting the Website Design Request Form, the Client agrees to these terms.

1. Scope of Work

‍

LEQODE STUDIO will provide website design, development, and associated services, as outlined in the form. These services include designing a website, implementing requested integrations (e.g., Google Analytics, Meta Pixel), providing hosting, security, and maintenance for websites under the Worry-Free Package, and any other services specified in the agreement. Any additional services outside of this scope will require approval and may incur additional fees.

2. Client Responsibilities

‍

The Client is responsible for providing accurate and complete information when filling out this form, including your business details, website content (images, text, etc.), branding (logo, colors, etc.), and other requested materials. Failure to provide necessary information may delay the project timeline. The Client is also responsible for ensuring the legality of any content used on their website. This includes securing permission for copyrighted materials, ensuring compliance with data privacy laws (e.g., GDPR), and obtaining licenses for third-party software or media.

3. Confidentiality

‍

LEQODE STUDIO agrees to keep all sensitive or proprietary information shared between the Client and LEQODE STUDIO confidential and will not disclose it to any third parties unless required by law or necessary for the fulfillment of services.

4. Website Hosting and Management

‍

The Client may choose to have LEQODE STUDIO manage their website by choosing the Worry-Free Package, which includes website hosting, security, and minor updates.

‍

The website may be deleted if the Client does not renew the Worry-Free Package within 30 days, and all data related to the website will be permanently erased. The website will not be transferable to another hosting provider after this period. The Worry-Free Package may be cancelled at any time, but no refund will be issued for services rendered or fees paid. Any unused portion of the annual package fee is non-refundable.

After cancellation or non-renewal, the Client will be responsible for transferring their website to another platform or managing it independently.

5. Payments and Invoices

‍

The Client agrees to pay for services according to the payment schedule set forth in the project agreement. Payments are due upon receipt of the invoice. Payment can be made by Stripe, PayPal, or Interac e-Transfer. Payment options and a secure payment link will be included in the invoice. Failure to make timely payment may result in suspension or termination of services. All payments are final once services have commenced or been completed.

For the Worry-Free Package: The Client will pay an annual fee for hosting, security, and maintenance services. Failure to renew the package within 30 days of the renewal date will result in the cancellation of services and deletion of the website. The website will not be transferable to another account if this occurs.

6. Content Ownership

‍

Upon final payment, the Client will own the website and its content, excluding any custom designs, code, or intellectual property created by LEQODE STUDIO. LEQODE STUDIO retains the rights to any proprietary elements used in the creation of the website, and the Client is granted a non-exclusive license to use them.

LEQODE STUDIO maintains the right to use screenshots or samples of the design for promotional purposes.

7.  Revisions and Updates

‍

The Client is entitled to 2 rounds of revisions after the initial website design is presented. Revisions are limited to content, layout, and functionality changes. Additional changes or requests for major updates after the revision rounds are subject to extra fees. LEQODE STUDIO will not be responsible for any content updates or changes requested after the project has been completed, unless covered by the Worry-Free Package.

8. No Liability

‍

LEQODE STUDIO will not be held responsible for any direct, indirect, or consequential damages arising from the use or inability to use the website. This includes issues related to third-party integrations such as Google Analytics, Google Maps, Meta Pixel, or any other tools integrated into the website.

LEQODE STUDIO is not responsible for the availability, performance, or security of third-party services used on the website. The Client is solely responsible for ensuring the proper functionality of their website.

‍

LEQODE STUDIO is exempt from liability if the website or any of its content becomes unavailable due to external factors, including but not limited to issues with website platform, hosting servers, or internet service providers. The maximum liability of LEQODE STUDIO in any event shall not exceed the total amount paid by the Client for the services rendered under this Agreement.

9.  Privacy Policy and Data Protection

‍

LEQODE STUDIO will handle all personal data in accordance with its privacy policy, which is incorporated into this Agreement. The Client acknowledges that it is their responsibility to ensure compliance with applicable privacy laws, including but not limited to GDPR, CCPA, or any regional laws, and to obtain all necessary consents for the use of personal data.

10. Cookie Policy

‍

The Client acknowledges that LEQODE STUDIO may implement a cookie banner, and if requested, a privacy policy or tracker script, at an additional cost, and it is the Client's responsibility to ensure that their website complies with privacy laws.

11. Exemptions from Work

‍

LEQODE STUDIO is not obligated to provide services or support for the following scenarios:

In these cases, LEQODE STUDIO reserves the right to suspend or terminate services without refund.

‍

12. Force Majeure (Unforeseeable Circumstances)

‍

LEQODE STUDIO will not be held liable for any failure or delay in performance under these Terms and Conditions caused by events beyond our reasonable control. Such events may include, but are not limited to, acts of God (e.g., natural disasters), war, terrorism, labor strikes, internet service disruptions, technical failures, pandemics, government regulations, or any other unforeseen circumstance that impedes or prevents the fulfillment of our obligations.

In the event of a force majeure, LEQODE STUDIO will make reasonable efforts to notify you of the delay or inability to perform. However, we will not be held responsible for any damages or losses arising from such delays or failure to perform.

13. Indemnification

‍

The Client agrees to indemnify and hold LEQODE STUDIO harmless from any claims, damages, or expenses arising from the use of the website or services provided, including third-party claims related to intellectual property infringement or other legal matters.

14. Governing Law

‍

This agreement is governed by the laws of Quebec, Canada. Any disputes arising from or related to this agreement will be subject to the exclusive jurisdiction of the courts in Quebec.

15. Termination of Services

‍

LEQODE STUDIO reserves the right to terminate this agreement and cease providing services if the Client breaches any terms outlined in this agreement, including but not limited to non-payment, failure to provide necessary information, or legal violations related to the website’s content. In the event of termination, all services, including website hosting, design work, and maintenance, will be stopped, and any outstanding fees must be paid in full.

16. Changes to Terms

‍

LEQODE STUDIO reserves the right to modify or update these Terms and Conditions at any time. The Client will be notified of significant changes, and continued use of services after changes indicates acceptance of the updated terms.

17. Agreement to Terms

‍

By submitting any Design Inquiry Form from LEQODE STUDIO, you confirm that you have read, understood, and agreed to these Terms and Conditions. You also confirm that you will comply with all applicable legal requirements related to your website and content.
